Win 7 upgrade adviser

I run XP, SP3, but am considering moving to Win7. I downloaded and installed Windows 7 upgrade adviser, and it constantly fails, with the following message:
"Application failed to initialise properly. (0XC0000135) Click to terminate the application.
I have uninstalled and reinstalled several times. with the same outcome.
Help - please.
Bit concerned about the whole move if even the adviser won't run!

Thankyou ambra 4 -I downloaded dotnetfx and ended up with the message
"c:\windows\Micosoft.NET\framework\v2.0.50729\mscorwks.dll could not be loaded"
