intalling new mobo & processor

i am looking to up grade my motherboard & processor, my problem is that when i bought my computer, the OS was XP, with upgrade to Vista home premium. As i do not have a disc of the OS, apart from the master upgrade disc, how will i carry out a reinstall or will i not have to?

I think it counts as a new pc and a new disc needed. oem vista sp1 64 bit £86.
