I think it is Spyware. Run a full scan with MalwareBytes, this should get rid of it.

Ran Malwarebytes came up with nothing also did a deep scan with AVG no results

Please answer: Which folder is it in? Can you tell us the full path? also which OS are you using (XP, Vista, W7) ? and which security/antivirus programs are installed?

Have you got an old version of mcafee antivirus installed?

Just had a quick look on the net seems their virus scanner contains this file when used in dos mode for virus scanning?
