CPU and TDP

Can anyone explain TDP to me in simple terms. I've googled but I'm finding it difficult to understand. Tj Max I can make sense of but TDP, set for 94.5 watts on my CPU, is that the heat it dissipates or the amount of maximum power needed to cool the CPU? I understand that if this figure is exceeded then the PC will shutdown same as if the Tj Max setting is exceeded.

Its the amount of heat the cooling system is deigned to dissipate.

Exceed it and the CPU overheats, at some point the amount of heat energy in the transistor juntion is enough for electrons to jump across the junction without being switched electrically

i.e. junction breaks down and transistor is permanently switched on

Thanks Fruit Bat /\0/\ . Much clearer for me now. It also seems that the lower the TDP then the less power a CPU uses.
