w7 64bit not shutting down

Hi, My new build running w7 is not shutting down,not all the time but enough to produce worry. I have ran chkdsk,defrag,msconfig and checked event viewer.There were entries with a red x for nero and net passport. I am un installing nero as I write this. Any ideas please what to check next Thanks
