from windows xp home edition to xp pro

asus a7n8x-x mobo, 1 Gb ddr ram, 3 Ghz barton, on board sound and 9700 pro graphics.

I have windows xp home edition at moment. But a friend has an unused xp pro disk and product code that have never been used or activated/registered. Is it worth me upgrading to xp pro and if so do i have to reformat or can i just install over my xp home edition and still save all settings/drivers/etc?

pro has better security features and networking built in.

home is fine for most people.
