Windows 98 upgrade to SE

In order to use our already installed BT Broadband modem we need to upgrade our Windows 98 to the SE version. (BT say their new modems need SE). We have a new SE CD but not an upgrade one. Can we just install it over the existing system? At present we cannot access the internet at all.
