Win2k & memory/processor requirements

I am rebuilding an old pc for a friend (to be her first pc)it has a pentium 2/200Mhz processor and 32Mb 168pin SDram memory card. If I added a 256Mb memory card(to make 298Mb)would I get away with running Win2K on it? It currently has Win98SE loaded.
Advice please.

MS official minimum spec:

Computer/Processor: 133 MHz or higher Pentium-compatible CPU.

Memory: At least 64 megabytes (MB) of RAM; more memory generally improves responsiveness.

Until recently a friend of mine was running XP on a P2/266 with only 192mb ram so it should be OK.
