Will this upgrade make much difference?

I have been offered an old Tiny computer minus drives with a AMD 1.1 Processor.

I was going to used the motherboard and processer from it to replace my ancient gateway pentium III 500. Using my Gateway ATX Tower case and present drives.

There is no cost involved other than getting a motherboard battery for the Tiny motherboard.

I know nothing about AMD and not sure it there would be any improvement.

I use the PC for ms office programs and surfing the net including watching streaming media.

My old PC is an AMD 1.2 uses XP and office programs no problem.

What amount of memory? 256 min 512 pref if using XP but will be fine if still using Win98
