Upgrading CPU

Hi All, I am planning on upgrading my processor on my PC. Here are the specs I have now:
Motherboard...ASUS P5W DH Deluxe. ATI Crossfire.
CPU...Intel Core 2 Duo 6600 2.40 GHz.
RAM...4 GB.
Graphics... 2- ATI Radeon 3870s
Windows Vista 32 bit.

I plan on upgrading to a Intel Core 2 Quad Q9650 3.0GHz LGA 775 95W Quad-Core Processor.

My question is.. Will I have to also change the cooling fan & heatsink? If so what would be the best one.

If you plan to purchase the Retail Box version it will come supplied with a heatsink and fan. If you have additional fans and a good airflow through your case (essential) then you should not have any problems.

Can i ask the reason for the upgrade?

If you're a gamer you may do better to spend the money on a single new graphic card and overclock the processor, with a cheapish aftermarket cooler.
