Upgrade From 32bit Mobo to 64bit Mobo

I'm looking to upgrade my 32 bit Mobo Skt A, AGP and AMD Athlon 3000+ to 64bit Mobo Skt 754, AGP and AMD Athlon 64 (not decided which yet, money limitations). Now the questions;

Do I need to backup, reformat and reinstall programs on the HD, or can I buy second HD and copy original to second, reformat original then copy back from second, reformat second.

Will my current Windows XP allow me to change Mobo and Processor or will I need to purchase another copy of XP.
