should i upgrade or replace ???

hi everyone...
i would like to upgrade from a p4 2.0g pc to a p4 3.4g pc and would like help from someone who could let me know wether my motherboard would be able to handle this upgrade and if anything else needs replacing at the same time - i know the fan will need replacing but does anything else ?
the reason i wanna upgrade is cos it seems to be struggling with the latest games, i have an ati radeon 9200 in but that wiil be replaced -
nvidia or radeon ? any suggestions anyone.
apart from that the pc runs great but it is 4 years old now so should i just get a new tower with the latest specs or will upgrading the
processor and video card be sufficient ?
any help or advise would be very helpfull, here is the specs of the pc i have at the moment.

I would get a new video card as the 9200 is very poor. A decent card would be give a huge boost, if you are still not happy you could get a new tower with onboard graphics and transfer your new card over to it.

New mid range graphics card, AGP version 6600GT or similar, and up the RAM to 1GB, you'll notice a dramatic improvement in games.

I'm not a gamer, but I would suggest an Nvidia card if you do change it. The drivers seem to be more stable. I used to have an FX5200, had to replace it with an X700 Pro when I upgraded recently and needed PCI-X and found the ATI driver and software to a bit troublesome. It runs okay now that I've uninstalled all the unnecessary utilities.
