can anyone tell me procesure how to set up connection of two comps. with ethernet cable? one comp. is runing winXP otherone win98SE

First ensure that both PCs have NIC or network interface cards, some motherboards are network enabled so you may not need another card. connect the PCs using a cat 6e crossover cable of suitable length. If you're connecting the computers direct to each other, it MUST be a crossover cable. The simple path would then be to connect the two machines, boot up and let the XP network connection wizard do its thing.
