Network Problems - 100% CPU usage

All,

Setting up my cable modem and coming across the following:

Switch on pc, boots up, CPU running about 1-2% when everythings loaded up. As soon as i connect the cable modem to the pc via the ethernet cable the CPU shoots up to 100% and stays there. If i disconnect it the cpu drops back down to 1-2%.
HELP!!!
I've connected my laptop to the pc using the same network card (all beit with a crossover cable) and it works fine.

Any ideas greatly appreciated.

press ctrl+alt+delete. click on task manager then processes. this will tell you which process is using your cpu time.
