Start/Control Panel/Admin Tools/Services....Messenger..disable.

RunDll32 advpack.dll,LaunchINFSection %windir%\INF\msmsgs.inf,BLC.Remove

Removes WINDOWS MESSENGER(the producer of these Popups)not Msn Messenger, which, believe it or not,is a different app. ;-)

Tied this (AubreyS suggestion)but the associated info text on the 'Services' panel claims that 'this messenger service is NOT part of Windows Messenger'!
Still need to be sure thar the vague warnings on this info text aresafe to ignore.

Messenger service is different to "Windows messenger" - the latter is akin to Yahoo Messenger etc while the former is a process which allows messages to be sent to ip addresses. You can safely disable it as suggested.
