Migrating from Office 97 to 2003

I want to change from MS Office 97 Pro to MS Office 2003 Pro Upgrade. Should I uninstall 97 first, or will the 2003 Upgrade simply convert 97 to 2003? I don't want to end up with two Office suites on my PC. Also, are there any problems I should be aware of? Will Access 2003 be able to open an Access 97 file and then save it as a 2003 file?
I'll be grateful for any help on this.

When you start to load office 2003 it should give you the option to upgrade, if you go this route it will effectively over write office 97. (that's what I did moving from office 2000 to office 2007)
