I'd go for the first one; cheaper processor but better graphics card. I'd want 5.1 speakers to justify the sound card though (no speakers specified in the second)

You'll need the modem if you access the internet via dial-up. If you're on broadband your service provider usually gives you an external modem so the internal one is not required.

A decent 550w psu should be plenty. You might like to ask them what make it is.
