fat32 to ntfs query

I have a new computer partitioned in c & d with one Acer & other AcerData when I attempted to convert c: from cmd prompt to ntfs it came up with: Convert cannot run because volume is in use by another process. Convert may run if this volume is dismounted first. 'All handles to this volume would then be invalid'.Would you like to force a dismount on the volume.

Then it comes up with (after no). Convert cannot gain exclusive access to the c: drive, so it cannot convert it now. Would you like to schedule etc. etc.

Query is if can I go ahead without dismount of drive what will the effect be, or would answer yes at the first prompt be the best way to go. So would appreciate some guidance on this please.
