DEVLDR32.exe ??

Hi I am running WIN XP Pro and evrything seems to be fine besides from when I try to shut down. It says that DEVLDR32.exe is running and needs to be shutdown otherwise unsaved work will be lost. I have no idea what DEVLDR32.exe is. I opened Windows Task Manager and I saw DEVLDR32.exe as a local service, however when I open Services VIA Admin Tools I cant see it. Is there any why 2 disable it cos I cant shutdown my PC. The only way is to hard reset all the time
