Dell 9200 Upgrade

Hi as the title suggests I want to upgrade my 9200, i've already upgrade the GPU about a year ago (from Geforce 7900GS to 8800GT) and that works fine. I have a Core 2 Duo E6750 lying around and want to use it.

My specs are:
Intel core 2 duo E6400 @ 2.1Ghz socket LGA 775
Stock Dell Heatsink
2GB DDR2 Ram @ 333mhz
250Gb HDD
Nvidia Geforce 8800GT @ 512mb
Stock Dell MoBo 0WG855

I've downloaded all new BIOS upgrades, but it will not work. This maybe that the Intel Heatsink does not fit the holes in my MoBo, so i'm using the stock dell. It makes a high pitched whine for about two seconds, stops and then continues for two seconds and goes around in a vicious circle. I get no picture from my monitor and my GPU is running!

Any Suggestions?

So have you installed the the E6750 cpu?
Have you checked all connections inside your case? And checked to make sure that the new cpu is seated correctly?
Do you get the POST beeps?
After that did you reinstall your OS?

Also was the upgrade necessary as your only getting an extra 0.5Ghz extra from that E6750cpu.
