Continuous re-booting

Windows XP SP2

Hi, whilst using my computer it suddenly shut down and went into a re-boot mode.
It did not boot successfully and went into the "windows did not start successfully" page.

If I select "start normal" or "last known" mode then it gets as far as the Windows logo and then switches off and re-boots back to the same page.

I have tried selcting safe mode but it just goes back to a re-boot.
I have tried using the XP disc to see if I could repair but it did not go any further than allowing you to select it.

Any ideas would be helpful. Thanks

run memtest86 from bootable cd, could be faulty ram.
Download memtest iso from here
burn the iso file to disk then set pc to boot from cd,
press del or f2 key whilst starting and change boot to start with cd
