Are these two chalk and cheese or are they interchangable. Is it one pin difference we are talking about or just a reference number?

PS: Another question.
Thermal paste goes between heatsink/cpu and usually a clip of some sort holds it all tight.
What is the product which goes between chipset and heatsink where there is no clip to hold it tight?

The two are not compatible.

939 is for mainline chip.

940 is for server chip(Opteron) which requires ECC RAM.
